DCF Model TOS

**TERMS OF SERVICE AGREEMENT**


This agreement is entered into by and between luppiter Group LLC. ("Provider") and the user of the DCF Excel model ("User").


**1. Use of the DCF Excel Model**


The User agrees to use the DCF Excel model solely for its intended purpose and in accordance with all applicable laws and regulations. The User shall not use the model for any illegal activities or in any manner that violates the rights of others.


**2. Limitation of Liability**


In the event that the User suffers any loss or damage as a result of using the DCF Excel model, the Provider's liability shall be limited to the amount paid by the User for the model.


**3. Governing Law and Jurisdiction**


This agreement shall be governed by the laws of the State of New Jersey, United States. Any disputes arising out of or relating to this agreement shall be resolved in the courts of the State of New Jersey.


**4. No Reselling or Redistribution**


The User shall not resell, redistribute, or transfer the DCF Excel model to any third party without the express written consent of the Provider.


**5. No Refunds**


The Provider does not offer refunds for the DCF Excel model.

**7. Severability**


If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.


**8. Entire Agreement**


This agreement constitutes the entire agreement between the Provider and the User and supersedes all prior or contemporaneous agreements, representations, and understandings, whether written or oral.


**9. Acceptance**


By using the DCF Excel model, the User agrees to be bound by the terms of this agreement.


**10. Disclaimer**


The DCF Excel model is a tool for valuation and should not be considered as financial advice. The Provider makes no representations or warranties regarding the accuracy, completeness, or reliability of the model or its results.
